Introduction

By accessing and using the ZeroDown® Software website (“Site”), you agree to comply with and be bound by the following terms and conditions (“Terms of Use”). Please read these terms carefully before using our Site. If you do not agree to these Terms, please do not use the Site.

Use of the Site

The Site and its content are provided for your personal, non-commercial use. You may not modify, reproduce, distribute, or create derivative works based on any material from the Site without our prior written consent. Unauthorized use may result in termination of your access to the Site.

Account Registration

If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Please notify us immediately of any unauthorized use or security breach.

Purchases, Access & Refunds

When you purchase access to the Failure Gap™ assessment, you are purchasing a fixed-term license to use the assessment service, subject to the following:

• Access term. Your purchase grants access for a period of one (1) year (365 days), beginning on the date your access is activated (by payment or by redemption of an access code).
• Assessment allowance. Your purchase entitles you to complete up to the number of assessments included in the package you purchased (for example, three (3) assessments). Assessments do not roll over and have no cash value.
• No renewal or extension. Access is for the fixed term only. The service does not automatically renew, and the term cannot be extended; access ends at the end of the term regardless of how many assessments have been used.
• Non-refundable. Except where required by applicable law, all fees are non-refundable, in whole or in part, including for assessments not used and for any portion of the access term not used.
• Expiration of unused assessments. Any assessments not completed before the end of the access term expire automatically and are forfeited, with no refund, credit, or extension.
• Pricing and packages. Prices and package contents may change from time to time; the price and terms presented to you at the time of purchase govern that purchase.
• Service availability. If we are materially unable to provide the assessment service due to a fault on our part, your sole remedy is to contact us at support@zerodownsoftware.com. Nothing in this section limits any rights that cannot be waived under applicable law.

Intellectual Property

All content, trademarks, logos, and software on the Site are the property of ZeroDown® Software or its licensors and are protected by applicable intellectual property laws. You may not use these materials without permission.

User Content

By submitting content to the Site, you grant ZeroDown® Software a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content. You are responsible for ensuring that your submissions do not infringe the rights of third parties or violate any applicable laws.

Prohibited Activities

• Using the Site for unlawful purposes.
• Attempting to gain unauthorized access to other users’ accounts or to the Site’s systems.
• Transmitting viruses or malicious code.
• Engaging in any activity that disrupts or interferes with the Site’s operations.

Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Arapahoe County, Colorado, and you hereby consent to the personal jurisdiction and venue of such courts.

We reserve the right to modify these Terms of Use at any time. Changes will be posted on this page and will be effective immediately. It is your responsibility to review these Terms periodically.
